These Terms of Service constitute a legally binding agreement between Ledgex Pty Ltd (ABN 52 700 694 560) ("Ledgex", "we", "us") and you ("Customer", "you") governing your use of Ledgex sovereign hosting and infrastructure services. By using our services, you agree to these terms.
Ledgex provides sovereign cloud hosting, virtual private servers (VPS), private cloud infrastructure, and related services from our company-owned infrastructure in Sydney, Australia. Service specifications, including resource allocations, uptime commitments, and support levels, are detailed in individual service agreements.
All Customer data is stored exclusively on Ledgex-owned hardware located in Sydney, NSW, Australia. Ledgex does not replicate, transfer, or process Customer data on any foreign-owned cloud platform or infrastructure outside Australia. This is a material term of the agreement.
You agree to use the services lawfully and in compliance with all applicable Australian laws. You are responsible for maintaining the confidentiality of your account credentials, for all activity under your account, and for the content you host on Ledgex infrastructure.
Ledgex provides a 99.99% network uptime SLA for infrastructure services. SLA credits and remedies are detailed in individual service agreements. The SLA covers network availability and power to Ledgex-owned equipment in the Sydney datacenter.
To the maximum extent permitted by Australian law, Ledgex's liability is limited to the fees paid by the Customer for the specific service giving rise to the claim. Ledgex is not liable for indirect, consequential, or special damages. Nothing in these terms excludes liability that cannot be excluded under the Australian Consumer Law.
Either party may terminate services with 30 days written notice. Ledgex may suspend or terminate services immediately for breach of these terms, illegal activity, or non-payment. Upon termination, Customer data is available for export for 14 days before secure deletion.
These terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.
